Youllab Terms of Service

Welcome to Youllab.
These Terms of Service (“Terms”) govern your access to and use of Youllab, including the Youllab website, profiles, discovery features, collaboration requests and related services (together, the “Service”).
By creating an account or using the Service, you agree to these Terms.
1. Who operates Youllab
Youllab is currently jointly operated from Hungary by:

Communications may be submitted in English or Hungarian.

2. What Youllab is
Youllab is a global collaboration and discovery network for creators, brands and service providers.
The Service allows users to create profiles, describe what they are looking to collaborate on, discover other members, send and receive collaboration requests and, where a request is accepted, connect with the other party.
Youllab helps people find and contact potential collaborators.
Youllab is not a party to collaborations, contracts, transactions or other arrangements concluded between users.
We do not currently process payments between users, provide escrow, guarantee deliverables or supervise collaborations after users connect.
3. Current free-beta status
Youllab is currently provided as a free service.
At present there is no paid subscription, premium tier or paid feature required to use the Service.
We may introduce paid features, subscriptions or other commercial functionality in the future. If we do, applicable pricing and additional or updated contractual terms will be presented before a user purchases or becomes responsible for any charge.
We will not charge you merely because Youllab later introduces paid functionality.
4. Eligibility
You must be at least 16 years old to create or use a Youllab account.
If you are under the age of legal majority where you live, your ability to enter contracts, provide services, receive payments or conduct other activities outside Youllab may be subject to additional requirements, including parental or guardian consent.
You are responsible for ensuring that your use of Youllab and any collaboration you enter into is lawful for you.
If you create or operate a profile on behalf of a company, organisation, brand, team or other person, you represent that you have authority to do so.
5. Accounts
You must provide accurate account information and keep your account reasonably secure.
You are responsible for activity performed through your account, except where responsibility cannot legally be attributed to you.
You must not:
- impersonate another person, creator, company or organisation;
- create an account using information you have no right to use;
- obtain or attempt to obtain another user's login credentials;
- sell, transfer or misuse accounts in a way that compromises the Service;
- use Youllab to deceive other users about your identity, affiliation, authority or intentions.
You should notify us at hello@youllab.com if you believe your account has been compromised.
6. Profiles
Youllab currently supports three main profile types:
- Creator — for people or organisations creating content or building an audience.
- Brand — for brands, businesses and organisations seeking collaborations.
- Service Provider — for people or organisations offering services that may be useful to creators, brands or other members.
Profile type is a functional category within Youllab. It is not a certification of legal status, professional status, business registration or identity.
You may create profile information including your name or display name, platforms, profile links, audience information, categories, languages, location, description, collaboration intent, images and other information supported by the Service.
You are responsible for ensuring that information you publish is accurate, lawful and not misleading.
7. Youllab does not verify every user or claim
Unless Youllab expressly states otherwise, we do not independently verify:
- a user's identity;
- business registration;
- ownership of a social-media account;
- subscriber, follower or audience information;
- qualifications or professional credentials;
- prices or commercial claims;
- portfolio claims;
- authority to represent another organisation;
- financial status;
- the quality, legality or suitability of a proposed collaboration.
The presence of a profile on Youllab is not an endorsement, certification or guarantee by Youllab.
Users should carry out whatever due diligence they consider appropriate before entering into a collaboration or commercial relationship.
8. Collaboration intent and discovery
Profiles may contain a statement describing what the user is currently looking for.
This information is intended to help users understand whether there may be a useful collaboration fit before contacting one another.
Discovery results, filters, profile visibility and ordering may change as the Service develops.
Being visible in Discovery does not guarantee that another user will see, contact or collaborate with you.
9. Collaboration requests
Users may send collaboration requests to other eligible profiles.
A request may contain a written pitch or other information describing the proposed collaboration.
Recipients may accept, decline or otherwise respond to requests through the functionality available in Youllab.
Sending a collaboration request does not create a contract, partnership, employment relationship or other legal relationship between the sender and recipient.
Acceptance of a Youllab request means that the recipient is willing to permit the connection and contact exchange described by the Service. It does not by itself mean that either party has accepted any proposed commercial terms or entered into a separate collaboration agreement.
Users remain responsible for agreeing the actual terms of any collaboration between themselves.
10. Contact information after acceptance
Youllab keeps designated collaboration contact details separate from ordinary public/member-visible profile information.
When a collaboration request is accepted, relevant private contact information may be revealed to the parties so that they can communicate directly outside Youllab.
By accepting a request, you authorise Youllab to disclose the applicable contact information to the other party for this purpose.
Once contact information has been disclosed to another person, Youllab cannot make that person forget information they have already received or guarantee that copies outside Youllab can be deleted.
Users must use contact information obtained through Youllab lawfully and responsibly.
You must not use contact information obtained through Youllab for spam, harassment, unlawful marketing, threats, data harvesting or unrelated exploitation.
11. Declining requests and limiting future contact
Users may decline collaboration requests.
Certain decline or preference options may prevent additional requests from a particular profile unless the user later changes that choice.
These controls concern interaction within Youllab. They do not control communications that take place independently outside the Service.
12. Favorites
Youllab may allow you to save profiles as Favorites.
Favorites are intended as a private organisational feature for the user who saves them. A user is not notified merely because another user adds their profile to Favorites, unless we clearly introduce and disclose different functionality in the future.
13. User content
“User Content” means information or material that users submit to Youllab, including profile text, collaboration intent, images, banners, portfolio information, links and collaboration-request content.
You retain ownership of rights you already have in your User Content.
You grant Youllab a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, display and technically adapt your User Content only as reasonably necessary to operate, secure, maintain, improve and present the Service.
This licence does not transfer ownership of your User Content to Youllab.
You represent that you have the rights and permissions necessary to submit the User Content you provide.
You must not upload material that infringes another person's copyright, trademark, privacy, publicity or other rights.
14. Prohibited content and conduct
You may not use Youllab to create, upload, publish, transmit, request or facilitate content or activity that:
- is illegal;
- fraudulently impersonates another person or organisation;
- infringes intellectual-property or other legal rights;
- contains threats, unlawful harassment or targeted abuse;
- facilitates scams, fraud or deliberate deception;
- distributes malware or attempts to compromise systems or accounts;
- unlawfully collects or exploits personal information;
- promotes or facilitates sexual exploitation, abuse or content involving minors;
- contains pornographic or explicitly sexual material or advertises adult sexual services within the current Youllab service;
- promotes unlawful goods, services or transactions;
- uses Youllab primarily to send spam or unsolicited mass communications;
- scrapes, harvests, systematically extracts or builds external databases from Youllab profiles or contact information without authorisation;
- attempts to circumvent Youllab’s request/acceptance process or other access controls to obtain private contact information;
- attempts to bypass security restrictions, rate limits or moderation measures;
- materially interferes with the operation or security of Youllab;
- is otherwise incompatible with these Terms or applicable law.
We may refine these rules as the Service develops.
15. Illegal content reports
Any individual or organisation may notify Youllab about specific information or activity on the Service that they believe is illegal.
Youllab provides a Report Illegal Content mechanism for these notices.
A notice should include a sufficiently detailed explanation of why the information is alleged to be illegal; the exact URL or other information enabling us to identify and locate the content; the reporter's name and email address except where applicable law permits those details to be omitted; and confirmation of the reporter's good-faith belief that the information and allegations supplied are accurate and complete.
If contact information is supplied, we will confirm receipt of the notice without undue delay.
We will process notices in a timely, diligent, non-arbitrary and objective manner and will inform the reporter of our decision regarding the reported information, together with information about available means of redress where applicable.
Submitting a report does not automatically mean that content will be removed.
Knowingly abusive or bad-faith misuse of reporting mechanisms may result in appropriate restrictions where permitted by applicable law.
16. Moderation
Youllab may review content, profiles, collaboration activity or accounts when we receive a report, identify a potential breach, need to protect users or the Service, or are otherwise legally required to do so.
Depending on the circumstances, we may:
- request clarification or changes;
- reduce or disable visibility;
- remove or restrict content;
- restrict specific functionality;
- temporarily suspend a profile or account;
- permanently disable an account;
- preserve information where legally required;
- take other proportionate action necessary to enforce these Terms or comply with law.
Youllab currently relies primarily on administrative and human review for substantive moderation decisions.
We may also use technical and automated measures for security, validation, spam prevention, abuse detection, rate limiting and other operational purposes.
We do not promise that every piece of User Content is reviewed before publication.
Where we restrict or remove user-provided content, suspend or terminate access, or take another action because content is considered illegal or incompatible with these Terms, we will provide the affected user with a clear and specific statement of reasons where required by applicable law and where we have relevant electronic contact information.
That statement may include the action taken and its duration or scope, the relevant facts and circumstances, whether the matter arose from a notice or Youllab's own review, whether automated means materially contributed to the decision, the applicable legal or Terms basis, and available options for review or redress.
Substantive moderation decisions are currently primarily subject to human administrative review.
If you believe a moderation decision was incorrect, you may contact hello@youllab.com and provide the relevant decision or report reference.
17. Off-platform collaborations
After connecting, users may communicate, negotiate and collaborate outside Youllab.
Youllab is not responsible for negotiating or enforcing agreements between users.
This includes matters such as:
- payment;
- pricing;
- invoices;
- taxes;
- sponsorship disclosures;
- intellectual-property ownership;
- licences;
- deadlines;
- deliverables;
- employment or contractor classification;
- refunds;
- regulatory obligations;
- performance;
- disputes between collaborators.
Each user is responsible for understanding and complying with laws applicable to their own activity.
Nothing displayed by another user should be treated as professional, legal, financial or tax advice from Youllab.
18. No employment, agency or partnership
Using Youllab does not make a user an employee, representative, agent, partner or franchisee of Youllab.
Youllab does not employ users merely because they offer services or seek collaborations through the platform.
Youllab does not have authority to bind users to agreements with one another, and users do not have authority to bind Youllab.
19. Social platforms and third-party services
Profiles may contain links to YouTube, TikTok, Instagram, Facebook, X, LinkedIn, Twitch, Rumble, Kick, Spotify or other third-party platforms and websites.
Those services are operated independently and may have their own terms, privacy policies and rules.
Youllab is not owned, endorsed or operated by those platforms merely because they can be linked from a Youllab profile.
Your use of third-party services remains subject to their applicable terms.
20. Youllab intellectual property
The Youllab name, logo, visual identity, software, site design, platform functionality and original content provided by Youllab are protected by applicable intellectual-property laws.
Except where expressly permitted, you may not copy, sell, license, reverse engineer, commercially exploit or present Youllab's proprietary materials as your own.
These Terms do not prevent you from referring to Youllab truthfully or linking to the Service.
21. Service communications
We may send communications reasonably necessary to operate your account and the Service, including account, security, collaboration-request, acceptance, expiration, moderation and important service notices.
These operational communications are different from optional promotional or marketing communications.
Where we offer an optional updates or marketing subscription, it will be subject to the choices and withdrawal options presented with that subscription.
22. Beta service, availability and changes
Youllab is an evolving service and may contain errors, incomplete functionality or features that change over time.
We may add, modify, test or discontinue functionality.
We do not guarantee uninterrupted or error-free availability, a particular level of traffic, discovery visibility, replies, matches, collaborations, income, audience growth or commercial success.
We may temporarily restrict access where reasonably necessary for maintenance, security, legal compliance or technical reasons.
23. Account deletion
You may use available account-management functionality to delete your account, subject to technical processing and any retention required by applicable law.
Deleting an account may also delete associated profiles and other information from the active Service as described in our Privacy Notice.
Account deletion cannot retrieve information that another user already received through a legitimate contact exchange or that exists independently outside Youllab.
Certain information may remain for limited periods in backups, security records or other systems where reasonably necessary or legally required, as further explained in our Privacy Notice.
24. Suspension and termination by Youllab
We may suspend, restrict or terminate access where reasonably necessary because of:
- a material or repeated breach of these Terms;
- illegal activity;
- fraud, abuse or significant security risk;
- harm to other users or the Service;
- legal or regulatory requirements; or
- other serious misuse of Youllab.
Where appropriate and legally required, we will act proportionately and provide relevant information about the reason and available means of review.
For less serious issues we may, where appropriate, give the user an opportunity to correct the problem before terminating access.
25. Your responsibility for collaborations
You are responsible for deciding whether another user, opportunity, request or collaboration is appropriate for you.
Youllab cannot guarantee another user's identity, honesty, ability, solvency, qualifications, audience, intentions or performance.
You should use appropriate caution before sharing additional personal information, transferring money, providing access to accounts, delivering work or entering into binding commitments.
26. Disclaimer
To the maximum extent permitted by applicable law, the Service is provided on an “as available” basis.
Youllab does not guarantee that:
- every profile or statement is accurate;
- every user is who they claim to be;
- every collaboration request is genuine;
- another user will respond;
- a collaboration will be successful;
- the Service will always operate without interruption or error.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
27. Liability
Youllab is intended to facilitate discovery and initial connection between users.
To the maximum extent permitted by applicable law, the operators are not responsible for losses caused solely by the conduct, promises, agreements, non-performance or disputes of independent users after or outside the connection facilitated by the Service.
We are also not responsible for third-party platforms or services that we do not control.
Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.
In particular, these Terms do not remove mandatory consumer rights or liability that cannot legally be excluded or limited.
28. Indemnity for unlawful misuse
Where legally permitted, if you use the Service unlawfully or materially breach these Terms and this directly causes a third-party claim or legally recoverable loss to the operators, you may be responsible for that loss to the extent provided by applicable law.
This section does not reduce protections that apply to consumers under mandatory law.
29. Changes to these Terms
We may update these Terms when the Service, our legal obligations, our operating structure or our functionality changes.
The current version and its effective date will be published on Youllab.
If a change is significant and materially affects users, we may notify users through the Service, by email or through another appropriate communication method.
Where applicable law requires consent to a change, we will request that consent rather than relying solely on continued use.
30. Transfer to a future company or successor
Youllab is currently jointly operated by the two natural persons identified in Section 1.
If operation of Youllab is later transferred to a company or another lawful successor, the provider information and applicable legal documents will be updated.
Any transfer of contractual responsibilities, personal data or other rights will be handled in accordance with applicable law, with notice or consent where required.
31. Governing law and mandatory user protections
These Terms are governed by Hungarian law, subject to applicable mandatory rules.
If you are a consumer, this choice does not deprive you of mandatory protections that apply to you under the law that would otherwise apply to your contract.
Nothing in these Terms limits rights that cannot lawfully be waived.
Any dispute will be handled by the courts or other competent bodies determined under applicable law.
32. Severability
If a provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply to the extent legally possible.
The affected provision should be interpreted or replaced as closely as legally permitted to achieve its intended purpose.
33. No waiver
If we do not immediately enforce a provision of these Terms, that does not mean we permanently waive the right to enforce it later.
34. Entire agreement
These Terms, together with the Privacy Notice and any additional terms expressly applicable to a particular future feature, form the agreement governing your use of Youllab.
If additional terms are introduced for a paid or specialised feature, those additional terms will apply to that feature and will explain any relevant priority over these general Terms.
